General Terms and Conditions for the Platform

Street Parking, Inc., together with its affiliates (hereafter “STREET PARKING”, “our,” “we,” or “us”) have adopted certain rules and policies (“Rules and Policies”) thatapply to our websites, mobile applications, social media sites and physical locations and premises (collectively, our “Platform”). These General Terms and Conditions govern your access to and use of the Platform. Our other Rules and Policies also govern the distribution and sale of our products and services and the handling of disputes, warranties, and privacy matters.

By visiting and using the Platform, you consent to and agree to abide by all of our Rules and Policies, which include but are not limited to the following documents, each of which is incorporated by reference herein for all purposes:

Compliance with other Rules and Policies. You acknowledge that you have read and agree to the terms of our other Rules and Policies. We may change any of our Rules and Policies at any time. If we make material changes, we will notify you either by posting the changed rules and policies on the Platform or by sending an email to you. We will also update the “Last Updated Date” at the top of the affected Rules and Policies. If we let you know of changes through an email communication, then the date on which the email is sent shall be deemed to be the date of your receipt of that email.It’s important that you review all changes to any Rules and Policies. If you do not wish to agree to any changes to the Rules and Policies, then we will not be able to continue providing the Platform to you, and your only option will be to stop accessing the Platform and deactivate any STREET PARKING account(s) you may have by providing us with your notice of termination (see Contact Us). Your continued use of the Platform after such changes are posted will constitute your agreement to such amended Rules and Policies.

Use of the Platform. Subject to your compliance with these General Terms and Conditions and our other Rules and Policies, STREET PARKING grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial use. By accessing the Platform and/or ordering any Product, you agree that you will not: (a) use STREET PARKING’s services or the Platform to create, upload, transmit, distribute, or otherwise make available any material that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable; (b) infringe or violate any patent, trademark, trade secret, copyright or other proprietary or privacy rights of STREET PARKING or any third party; (c) access or use the Platform for any commercial purpose not expressly permitted in writing by STREET PARKING; (d) use any robot, spider, scraper, crawler, or other automated means or interface not provided by us to access the Platform or to extract data; (e) attempt to circumvent any content-filtering techniques we employ or attempt to access any feature or area of the Platform that you are not authorized to access; or (f) decompile, reverse engineer, or otherwise attempt to obtain the source code of any portion of the Platform, except to the limited extent expressly permitted by applicable law notwithstanding this restriction.

Memberships. STREET PARKING memberships, subscriptions, and recurring services offered through the Platform (collectively, “Memberships”) are set to automatically renew at the end of each applicable billing period unless you cancel in accordance with these General Terms and Conditions or we terminate your Membership. By purchasing a Membership, you authorize STREET PARKING (and our thirdparty payment processors) to charge your designated payment method for the applicable recurring fees and any applicable taxes, at the thencurrent rate disclosed to you at the time of purchase, until you cancel.

Cancellation of Memberships. You may cancel your Membership at any time, effective at the end of the then-current billing period, by contacting us at support@streetparking.com or by using any self-service cancellation mechanism we may make available on the Platform. In order to avoid being charged for the next billing period, you must submit your cancellation request at least forty-eight (48) hours before your next scheduled payment date. If you do not provide sufficient advance notice, your cancellation may not take effect until the following billing period. Membership payments are non-refundable except where we are required to provide a refund under applicable law or where we expressly state otherwise in writing at the time of purchase. Upon cancellation, you will continue to have access to Membership benefits until the end of your then-current billing period, after which access may be terminated or downgraded.

Changes to Memberships; Suspension and Termination. We may from time to time in our discretion change the Membership plans, including applicable fees and features, or discontinue certain Membership offerings, in each case in accordance with applicable law and with any required advance notice. We may suspend or terminate your Membership or access to some or all of the Platform (including any account) immediately upon notice if we reasonably believe that you have violated these General Terms and Conditions, our other Rules and Policies, or applicable law, or if we otherwise determine it is reasonably necessary to protect the Platform, our business, or other users. Unless otherwise required by law, any suspension or termination by us under this paragraph does not entitle you to a refund of any amounts previously paid, and you remain responsible for all charges incurred prior to such suspension or termination.

Accounts, Passwords, and Security. Certain areas of the Platform require registration or otherwise ask you to provide information to participate in certain features or access certain content. If you elect not to provide such information, you may not be able to access certain content or participate in certain features of the Platform. If the Platform requires you to create an account or otherwise submit information, you must complete the specified process by providing us with current, complete, and accurate information as requested by the applicable registration form and you agree to keep such information current, complete, and accurate at all times. It is your responsibility to maintain the currency, completeness, and accuracy of your registration data, and any loss caused by your failure to do so is your responsibility. During the registration process, you will be asked to enter your name and valid e-mail address and choose a password. It is entirely your responsibility to maintain the confidentiality of your password and account. Additionally, you are entirely responsible for all activities that occur under your account. You agree to notify STREET PARKING immediately of any unauthorized use of your account or any other breach of security. You further agree not to email, post, or otherwise disseminate any user ID, password, or other information which provides you access to the Platform. STREET PARKING is not liable for any loss that you may incur because of someone else using your password or account, either with or without your knowledge, and is not responsible for any delay in shutting down your account after you have reported a breach of security to us.

Verifying Your Address.STREET PARKING reserves the right to contact you via email to verify the accuracy of account information (including your correct name and address) that is needed to provide you with the information requested from STREET PARKING.

Fraud. By creating an account, you confirm that the information provided is true and that you agree to abide by the Rules and Policies. Please note that your account can be cancelled, suspended, or otherwise limited without notice if it is determined that false or misleading information has been provided, these General Terms and Conditions or any other Rules and Policies have been violated, or other abuses have occurred as determined by STREET PARKING in its sole discretion, without prejudice to any other rights or remedies STREET PARKING may have at law or in equity.

Submissions and User-Generated Content. All suggestions, ideas, notes, concepts, content, artwork, product reviews, comments, feedback, and other information, materials, or communications that you upload, post, submit, or otherwise make available to STREET PARKING or through the Platform (collectively, “Submissions”) may be visible to other users and the public, depending on the features you use. You are solely responsible for your Submissions and for ensuring that they comply with these General Terms and Conditions and all applicable laws.

License to Submissions. As between you and STREET PARKING, you retain any ownership rights that you may have in your Submissions, subject to the rights you grant in this paragraph. By making any Submission, you hereby grant to STREET PARKING a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, adapt, translate, create derivative works from, publicly perform, publicly display, publish, distribute, and otherwise exploit such Submission, in whole or in part, in any media now known or hereafter developed, for any lawful purpose, including without limitation in connection with the operation, improvement, and promotion of the Platform and STREET PARKING's products and services, and for advertising and marketing purposes. You acknowledge and agree that STREET PARKING has no obligation to use any Submission and that you are not entitled to any compensation for any use of your Submissions, unless we expressly agree otherwise in writing.

No Confidentiality; Representations. Submissions shall not be subject to any obligation of confidence on STREET PARKING's part, and STREET PARKING shall not be liable for any use or disclosure of any Submission. By making a Submission, you represent and warrant that: (a) you are the creator and owner of, or have all necessary rights, licenses, consents, and permissions to use and to authorize STREET PARKING and other users of the Platform to use and exploit, your Submission as contemplated herein; (b) your Submission does not and will not infringe, misappropriate, or violate any patent, trademark, trade secret, copyright, privacy right, publicity right, or other proprietary or intellectual property right of any third party; and (c) your Submission complies with these General Terms and Conditions and all applicable laws. You acknowledge that designs created using the text tools and images available through the Platform are in no way the exclusive property of the customers who assemble such designs, and STREET PARKING retains the right to display such designs or offer them (or variations of such designs) to other customers.

Errors, Inaccuracies, and Omissions. Occasionally there may be information on our Platform that contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, promotions, offers, and availability. We reserve the right to correct any errors, inaccuracies or omissions, delete any information or content appearing on the Platform, and to change or update information or cancel orders if any information on the Platform is inaccurate at any time without prior notice (including after you have submitted your order).

No Legal Advice. Although we may provide references to relevant laws, nothing in our Rules and Polices is meant to constitute legal advice. You should check with your state’s Attorney General Office to ensure you are in full compliance with legal requirements. If you are unsure about proper compliance, seek the assistance of a licensed and qualified attorney.

Independent Contractors. You and STREET PARKING are independent contractors. No agency relationship, partnership, joint venture, employer-employee relationship or franchisor-franchisee relationship is intended or created by these Terms and Conditions.

Electronic Execution. Your use of the Platform constitutes your acknowledgement and acceptance of all terms and conditions of our Rules and Policies these and will have the same legal force and effect as if you had physically signed them. You agree to the admissibility of computer records and electronic evidence in any dispute under any of our Rules and Policies.

Interpretation; Severability. If any provision of any of our Rules or Policies is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision shall be enforced to the maximum extent permissible so as to put into effect the intent of these Rules and Policies, and the remainder of these Rules and Policies shall continue in full force and effect.

No Waiver. The failure by either party to exercise or enforce any rights or provisions of any of our Rules and Policies shall not constitute a waiver of such right or provision.

Entire Agreement. Our Rules and Policies, including any other applicable terms and conditions or rules that govern your use of the Platform, which are either incorporated herein by specific reference or posted on the Platform from time to time, comprises the entire agreement between you and STREET PARKING, and supersedes all prior representations, agreements or statements between us, written or oral, regarding the subject matter contained herein (including any prior version of any Rules or Policies).

Survival. All provisions in these Rules and Policies regarding representations and warranties, indemnification, disclaimers and limitations on liability shall survive any termination of these Rules and Policies. The titles and headings contained in these Rules and Policies are used for convenience only and are not intended to affect the meaning or interpretation of these Rules and Policies.

Binding Effect. These Rules and Policies are binding upon and inure to the benefit of the respective successors and assigns of the parties, but you may not assign these Rules and Policies to any person or entity without our prior written consent, and any such assignments made without consent shall be null and void. These Rules and Policies are solely for the benefit of STREET PARKING, its affiliates, and you, and shall not be construed for the benefit of any third party.

Time Limitation on Claims and Causes of Action. You agree that regardless of any statute or law to the contrary, and subject to and without limiting the dispute resolution terms set forth in “Limitations on Liability; Dispute Resolution; Indemnification and Release” (including any provisions requiring binding arbitration, waiving class, collective, or representative actions, and describing any exceptions such as small claims or requests for injunctive relief), any claim or cause of action arising out of or related to our Rules and Policies or your use of the Platform that is permitted to be brought in court must be filed within one (1) year after such claim or cause of action arose. Any such court claim not filed within the foregoing one (1) year period shall be forever barred. Governing Law; Venue. Your use of the Platform shall be governed by, and these Rules and Policies shall be governed by and construed in accordance with, the laws of the State of Washington, U.S.A., as they apply to agreements made and solely performed therein, without giving effect to any choice or conflict of laws provision or rule. Dispute resolution procedures, including any requirement that disputes be submitted to binding arbitration on an individual basis (and any related class, collective, or representative action waiver), as well as any specific exceptions to arbitration (such as qualifying small claims matters or claims seeking injunctive or other equitable relief), are governed by and shall be handled exclusively in accordance with the terms set forth in “Limitations on Liability; Dispute Resolution; Indemnification and Release”, which are incorporated herein by reference. To the extent that those terms permit any claim or proceeding to be brought in court rather than in arbitration, you irrevocably consent and waive all objections to personal jurisdiction and venue in the state and federal courts of competent jurisdiction located in Clark County, Washington for any such action arising out of or relating to these Rules and Policies or your use of or access to the Platform, and you shall not commence or prosecute any such suit or action except as provided in those dispute resolution terms.
